Acquisition Tips #2

Here is the next installment of the “Acquisition Tips” blog that I posted on June 14, 2011:

  • Save time and money, especially if your acquiring company is public, by having the target produce 2-3 years of audited financial statements prior to closing. If the acquisition is deemed to be “significant” pursuant to SEC regulations (there are several tests), at least 2 years of audited financial statements, footnotes and proformas will be required.
